Confidentiality Agreement

1. Introduction

1.1 Purpose: This Confidentiality Agreement (the "Agreement") outlines the terms under which LearnHub (referred to as "Disclosing Party") may disclose certain confidential information to the user (referred to as "Receiving Party").

1.2 Confidential Information: "Confidential Information" refers to any non-public information, including but not limited to course content, business strategies, proprietary processes, and any other information disclosed by the Disclosing Party.

2. Obligations of Receiving Party

2.1 Confidentiality: The Receiving Party agrees to maintain the confidentiality of all Confidential Information disclosed by the Disclosing Party.

2.2 Use Limitation: The Receiving Party shall use the Confidential Information solely for the purpose of the intended use as communicated by the Disclosing Party and shall not disclose, reproduce, or use the information for any other purpose without prior written consent.

3. Exceptions

3.1 Publicly Available Information: Information that is publicly available or becomes publicly available without a breach of this Agreement is not considered Confidential Information.

3.2 Legal Requirement: If the Receiving Party is required by law to disclose Confidential Information, they shall provide prompt notice to the Disclosing Party to allow for appropriate action.

4. Duration of Confidentiality

The obligations of confidentiality under this Agreement shall continue for a period of [X] years from the date of disclosure.

5. Return or Destruction of Information

Upon the Disclosing Party's request or termination of the business relationship, the Receiving Party shall promptly return or, at the Disclosing Party's option, destroy
